Rozdział I. Postanowienia ogólne
1. Stowarzyszenie PENYA BARÇA WROCŁAW zwane dalej [Stowarzyszeniem], działa na podstawie ustawy z dnia 7.04.1989 r. - Prawo o stowarzyszeniach, postanowień niniejszego Statutu oraz innych powszechnie obowiązujących przepisów, a także w zgodzie z zasadami określonymi w Oficjalnym Regulaminie Klubów Kibica FC Barcelona, zwanego dalej [Klubem].
2. Stowarzyszenie jest dobrowolnym zrzeszeniem osób fizycznych, grupą wsparcia Klubu, zawiązanym w celu popularyzacji idei „Barcelonismo” zgodnie z założeniem „més que un club”, a także popularyzacji miasta Barcelony, regionu Katalonii oraz wspierania współpracy pomiędzy osobami i organizacjami wspierającymi Klub.
3. Działalność Stowarzyszenia oparta jest o pracę społeczną członków.
4. Stowarzyszenie może należeć do innych krajowych i międzynarodowych organizacji o podobnych celach, może również podejmować współpracę z innymi organizacjami, o podobnych celach.
Nazwa Stowarzyszenia i jego oznaczenie
- Stowarzyszenie nosi nazwę: PENYA BARÇA WROCŁAW.
- Stowarzyszenie może używać skróconej nazwy P.B. WROCŁAW i wyróżniającego ją znaku graficznego (herbu) Stowarzyszenia oraz flag, chorągiewek, szalików i innych oznaczeń, zgodnie z uregulowaniami wewnętrznymi, określonymi przez Zarząd.
- Stowarzyszenie ma prawo używania pieczęci i odznak zgodnie z obowiązującymi przepisami.
Siedziba, Czas trwania i Osobowość prawna
- Siedzibą Stowarzyszenia jest miasto Wrocław.
- Stowarzyszenie jest zawiązane na czas nieograniczony.
- Stowarzyszenie posiada osobowość prawną.
Rozdział II. Cele i środki
Celami stowarzyszenia są:
- wspieranie Klubu,
- popularyzowanie ideałów i wartości Barcelonismo,
- propagowanie informacji dotyczących Klubu, jego tradycji i historii,
- popularyzacja historii, tradycji i kultury miasta Barcelona oraz regionu Katalonia oraz jego mieszkańców,
- szerzenie idei tolerancji, równości i niedyskryminacji,
- działanie na rzecz jednoczenia kibiców Klubu,
- inicjowanie, rozwijanie i wspieranie współpracy pomiędzy mieszkańcami Wrocławia a mieszkańcami Katalonii, a w szczególności Barcelony, a w miarę możliwości pomiędzy miastami: Wrocławiem a Barceloną.
Stowarzyszenie swe cele realizuje poprzez:
- współpracę z Klubem,
- aktywne wspieranie Klubu podczas meczów oraz innych imprez, akcji organizowanych przez Klub,
- organizowanie spotkań członków Stowarzyszenia,
- organizację i branie udziału we wszelkiego rodzaju imprezach, na których możliwe będzie realizowanie celów Stowarzyszenia, w szczególności o charakterze charytatywnym,
- współpracę z wszelkimi osobami oraz instytucjami o podobnych celach działania,
- prowadzenie strony internetowej i profili w mediach społecznościowych oraz wszelką aktywność w sieci Internet.
Stowarzyszenie może prowadzić działalność gospodarczą, na zasadach określonych w odrębnych przepisach, jednak dochód z działalności gospodarczej Stowarzyszenia jest przeznaczony na realizację celów statutowych i nie może być przeznaczony do podziału pomiędzy jego członków.
Rozdział III. Prawa i obowiązki członków
Członkami Stowarzyszenia mogą być osoby fizyczne i prawne, z zastrzeżeniem, iż osoby prawne mogą być jedynie członkami wspierającym Stowarzyszenia. Stowarzyszenie składa się z: 1. członków zwyczajnych, 2. członków wspierających, 3. członków honorowych.
Członkowie zwyczajni
Członkiem zwyczajnym Stowarzyszenia może zostać każda pełnoletnia osoba fizyczna, posiadająca obywatelstwo polskie lub nie posiadająca obywatelstwa polskiego, która złoży deklarację i spełni pozostałe wymogi określone odrębnymi regulacjami wewnętrznymi (z zastrzeżeniem postanowień dotyczących małoletnich). Członkiem zwyczajnym staje się na podstawie decyzji Zarządu Stowarzyszenia.
Członkowie zwyczajni mają prawo:
- uczestniczyć w działalności Stowarzyszenia,
- biernie i czynnie uczestniczyć w wyborach władz Stowarzyszenia,
- uczestniczyć we wszelkich przedsięwzięciach organizowanych przez Stowarzyszenie,
- zgłaszać inicjatywy co do działalności Stowarzyszenia.
Członkowie zwyczajni mają obowiązek:
- działać na rzecz Stowarzyszenia i wspierać je w realizacji statutowych celów,
- przestrzegać statutu i uchwał władz Stowarzyszenia,
- regularnie opłacać składki członkowskie.
Małoletni w wieku od 16 do 18 lat, którzy mają ograniczoną zdolność do czynności prawnych, mogą należeć do Stowarzyszenia i korzystać z czynnego prawa wyborczego, z wyłączeniem biernego prawa wyborczego. Małoletni poniżej 16 lat mogą, za zgodą przedstawicieli ustawowych, należeć do Stowarzyszenia bez prawa udziału w głosowaniu na walnych zebraniach członków oraz bez korzystania z czynnego i biernego prawa wyborczego do władz stowarzyszenia. Członkowie ci zwolnieni są z obowiązku opłacania składek członkowskich.
Członkowie wspierający
Członkiem wspierającym Stowarzyszenie może zostać osoba fizyczna lub osoba prawna, która przyczyni się do rozwoju Stowarzyszenia, pomagając mu finansowo, rzeczowo lub merytorycznie. Staje się nim na podstawie decyzji Zarządu Stowarzyszenia. Członkowie wspierający mają takie prawa i obowiązki, jak członkowie zwyczajni, za wyjątkiem prawa głosu na Walnym Zgromadzeniu Członków oraz biernego uczestniczenia w wyborach. Mogą oni brać udział w posiedzeniach władz z głosem doradczym.
Członkowie honorowi
Członkiem honorowym może zostać osoba fizyczna, która w szczególny sposób przyczyniła się do rozwoju Stowarzyszenia lub propagowania wizerunku Klubu. Kandydatów wysuwają członkowie (wniosek poparty przez co najmniej 1/5 członków), a ustanawia Zarząd. Mają prawa i obowiązki jak członkowie zwyczajni, bez prawa głosu i biernego prawa wyborczego, jednak zwolnieni są z opłacania składek.
Utrata członkostwa
Utrata członkostwa następuje w wyniku: zrzeczenia się członkostwa, decyzji Zarządu Stowarzyszenia, śmierci członka, utraty osobowości prawnej przez osoby prawne.
Zarząd może podjąć jednogłośną decyzję o pozbawieniu członkostwa, gdy członek: nie przestrzega statutu, nie bierze udziału w pracach, nie opłaca składek, został pozbawiony praw publicznych wyrokiem sądu lub działa na szkodę Stowarzyszenia. Od decyzji przysługuje odwołanie do Walnego Zgromadzenia, którego uchwała jest ostateczna.
Rozdział IV. Władze Stowarzyszenia
Władzami Stowarzyszenia są: 1. Walne Zgromadzenie Członków, 2. Zarząd, 3. Komisja Rewizyjna. Wszystkie wybieralne władze pełnią kadencję przez 5 lat. Wybór odbywa się w głosowaniu tajnym, bezwzględną większością głosów. Uchwały zapadają zwykłą większością głosów przy obecności przynajmniej połowy uprawnionych (z zastrzeżeniem możliwości zwołania kolejnego Zgromadzenia bez wymogu kworum).
Walne Zgromadzenie Członków Stowarzyszenia
Najwyższą władzą jest Walne Zgromadzenie. Członkowie zwyczajni posiadają głos stanowiący; pozostali – doradczy. Zgromadzenie może być zwyczajne (zwoływane raz na rok) i nadzwyczajne.
Kompetencje Walnego Zgromadzenia:
- nakreślanie kierunków rozwoju, uchwalanie zmian statutu,
- wybór i odwoływanie władz,
- uchwalanie regulaminu Zarządu, budżetu, wysokości składek,
- rozpatrywanie sprawozdań i wniosków, odwołań od uchwał Zarządu,
- podjęcie uchwały o rozwiązaniu Stowarzyszenia.
Zebranie może odbywać się z wykorzystaniem środków komunikacji elektronicznej (zdalnie), co obejmuje transmisję obrad, komunikację w czasie rzeczywistym oraz wykonywanie prawa głosu.
Zarząd Stowarzyszenia
Zarząd kieruje działalnością Stowarzyszenia i reprezentuje je na zewnątrz. Do składania oświadczeń woli uprawniony jest prezes zarządu samodzielnie, wiceprezes samodzielnie albo dwóch członków zarządu łącznie. Zarząd składa się z 1 do 5 członków (Prezes, Wiceprezes, Skarbnik, Sekretarz, Członek Zarządu).
Kompetencje Zarządu:
- wykonywanie uchwał Walnego Zgromadzenia,
- realizacja statutowych celów i zarządzanie majątkiem,
- sporządzanie planów działania i zwoływanie Zgromadzeń,
- przyjmowanie i skreślanie członków, ustalanie adresu siedziby,
- uchwalanie wzoru znaku graficznego, flag i oznaczeń.
Komisja Rewizyjna
Komisja powoływana jest w celu sprawowania kontroli (nie rzadziej niż raz w roku). W jej skład wchodzą: przewodniczący, zastępca i członek. Do kompetencji należy kontrola działalności, składanie wniosków o absolutorium oraz prawo żądania zwołania Zgromadzeń i zebrań Zarządu.
Rozdział V. Majątek i Fundusze
Majątek Stowarzyszenia powstaje: ze składek członkowskich, darowizn, spadków, dochodów z działalności statutowej oraz dotacji i ofiarności publicznej. Środki muszą być przechowywane na koncie bankowym Stowarzyszenia. Decyzje majątkowe podejmuje Zarząd.
Rozdział VI. Postanowienia końcowe
Uchwałę o zmianie statutu oraz rozwiązaniu podejmuje Walne Zgromadzenie kwalifikowaną większością 2/3 głosów, przy obecności co najmniej połowy uprawnionych (z możliwością drugiego terminu bez limitu kworum). Podejmując uchwałę o rozwiązaniu, Zgromadzenie określa sposób likwidacji i przeznaczenie majątku. W sprawach nie uregulowanych zastosowanie mają przepisy Prawa o Stowarzyszeniach.
Chapter I. General Provisions
1. The PENYA BARÇA WROCŁAW Association, hereinafter referred to as the [Association], operates on the basis of the Act of April 7, 1989 - Law on Associations, the provisions of this Statute and other generally applicable regulations, as well as in accordance with the rules set out in the Official FC Barcelona Supporters Clubs Regulations, hereinafter referred to as the [Club].
2. The Association is a voluntary association of natural persons, a Club support group, established to popularize the idea of "Barcelonismo" in accordance with the "més que un club" principle, as well as to popularize the city of Barcelona, the region of Catalonia and to support cooperation between people and organizations supporting the Club.
3. The activities of the Association are based on the voluntary work of its members.
4. The Association may belong to other national and international organizations with similar goals, and may also cooperate with other organizations with similar goals.
Name of the Association and its designation
- The Association is named: PENYA BARÇA WROCŁAW.
- The Association may use the abbreviated name P.B. WROCŁAW and its distinguishing graphic sign (crest) as well as flags, pennants, scarves and other markings, in accordance with internal regulations determined by the Management Board.
- The Association has the right to use seals and badges in accordance with applicable regulations.
Registered office, Duration and Legal personality
- The registered office of the Association is the city of Wrocław.
- The Association is established for an indefinite period.
- The Association has legal personality.
Chapter II. Goals and means
The goals of the association are:
- supporting the Club,
- popularizing the ideals and values of Barcelonismo,
- propagating information concerning the Club, its traditions and history,
- popularizing the history, tradition and culture of the city of Barcelona and the Catalonia region and its inhabitants,
- spreading the ideas of tolerance, equality and non-discrimination,
- acting to unite the Club's fans,
- initiating, developing and supporting cooperation between the inhabitants of Wrocław and the inhabitants of Catalonia, in particular Barcelona, and if possible between the cities of Wrocław and Barcelona.
The Association achieves its goals by:
- cooperation with the Club,
- active support for the Club during matches and other events, campaigns organized by the Club,
- organizing meetings of Association members,
- organizing and participating in all kinds of events, where it will be possible to implement the goals of the Association, in particular of a charitable nature,
- cooperating with all persons and institutions with similar operational goals,
- running a website and social media profiles and any activity on the Internet.
The Association may conduct business activity, under the rules set out in separate provisions, however, the income from the business activity of the Association is intended to implement the statutory goals and cannot be intended for distribution among its members.
Chapter III. Rights and obligations of members
Members of the Association may be natural and legal persons, provided that legal persons may only be supporting members of the Association. The Association consists of: 1. ordinary members, 2. supporting members, 3. honorary members.
Ordinary members
Any adult natural person with Polish citizenship or without Polish citizenship who submits a declaration and meets other requirements set out in separate internal regulations may become an ordinary member of the Association (subject to provisions concerning minors). One becomes an ordinary member based on the decision of the Management Board of the Association.
Ordinary members have the right to:
- participate in the activities of the Association,
- passively and actively participate in the election of the Association's authorities,
- participate in all projects organized by the Association,
- submit initiatives regarding the Association's activities.
Ordinary members are obliged to:
- act for the benefit of the Association and support it in implementing its statutory goals,
- comply with the statute and resolutions of the Association's authorities,
- regularly pay membership fees.
Minors aged 16 to 18, who have limited legal capacity, may belong to the Association and use the active voting right, excluding the passive voting right. Minors under 16 may, with the consent of legal representatives, belong to the Association without the right to vote at general meetings of members and without using active and passive voting rights for the association's authorities. These members are exempt from the obligation to pay membership fees.
Supporting members
A supporting member of the Association may be a natural or legal person who contributes to the development of the Association by helping it financially, materially or substantively. They become one based on the decision of the Management Board. Supporting members have the same rights and obligations as ordinary members, except for the right to vote at the General Meeting of Members and passive participation in elections to authorities. They may take part in meetings of authorities with an advisory voice.
Honorary members
An honorary member of the Association may be a natural person who has particularly contributed to the development of the Association or the propagation of the Club's image in Poland. Candidates are proposed by members (motion supported by at least 1/5 of the members) and established by the Management Board. They have rights and obligations like ordinary members, except for the right to vote and passive voting right, however they are exempt from paying membership fees.
Loss of membership
Loss of membership occurs as a result of: resignation from membership, decision of the Management Board, death of a member, loss of legal personality by legal persons.
The Management Board may take a unanimous decision to deprive a member of membership when the member: does not comply with the statute, does not take active part in works, does not pay fees, has been deprived of public rights by a court sentence or acts to the detriment of the Association. A decision can be appealed to the General Meeting, whose resolution is final.
Chapter IV. Authorities of the Association
The authorities of the Association are: 1. General Meeting of Members, 2. Management Board, 3. Audit Committee. All elected authorities serve a 5-year term. The election takes place by secret ballot, by an absolute majority of votes. Resolutions of authorities are passed by a simple majority of votes in the presence of at least half of the members entitled to vote.
General Meeting of Members of the Association
The highest authority is the General Meeting. Ordinary members have a deciding voice; others - an advisory voice. The Meeting may be ordinary (convened once a year) and extraordinary.
Competences of the General Meeting:
- outlining directions of development, adopting changes to the statute,
- electing and dismissing all authorities of the Association,
- adopting the regulations of the Management Board, budget, amount of membership fees,
- considering reports and motions submitted by authorities or members,
- adopting a resolution on dissolving the Association.
The meeting may take place entirely or partially using electronic communication means (remotely), which includes real-time broadcasting, real-time bilateral communication, and exercising voting rights.
Management Board of the Association
The Management Board manages the Association's activities and represents it outside. The President of the Management Board alone, the Vice President alone, or two members of the board acting jointly are authorized to make declarations of will on behalf of the Association. The Board consists of 1 to 5 members (President, Vice President, Treasurer, Secretary, Board Member).
Competences of the Management Board:
- executing resolutions of the General Meeting of Members,
- implementing the statutory goals of the Association and managing its assets,
- drawing up action plans and the budget of the Association,
- convening the General Meeting of Members,
- adopting the pattern of the graphic sign (crest), flags and markings.
Audit Committee
The Audit Committee is established to exercise control over the activities of the Association (not less frequently than once a year). It consists of: chairman, deputy chairman, member of the Audit Committee. Its competences include controlling activities, submitting motions for discharging authorities, and the right to demand the convening of the General Meeting of Members and a board meeting.
Chapter V. Assets and Funds
The Association's assets are created from: membership fees, donations, inheritances, income from its own statutory activities, and subsidies and public generosity. Funds making up the Association's assets may be kept exclusively on the Association's bank account. Decisions on acquiring, disposing of, and encumbering assets are made by the Management Board.
Chapter VI. Final Provisions
A resolution on changing the statute and a resolution on dissolving the Association are adopted by the General Meeting of Members by a qualified majority of 2/3 of votes, in the presence of at least half of those entitled to vote (with the possibility of a second date without a quorum limit). When adopting a resolution to dissolve, the Meeting determines the method of liquidation and the destination of the assets. In matters not regulated in this statute, the provisions of the Law on Associations apply.

2. L'Associació és una associació voluntària de persones físiques, un grup de suport al Club, creada per popularitzar la idea del "Barcelonisme" d'acord amb el principi "més que un club", així com per popularitzar la ciutat de Barcelona, la regió de Catalunya i donar suport a la cooperació entre persones i organitzacions que donen suport al Club.
3. Les activitats de l'Associació es basen en el treball voluntari dels seus membres.
4. L'Associació pot pertànyer a altres organitzacions nacionals i internacionals amb finalitats similars.
Nom de l'Associació i la seva designació
- L'Associació es diu: PENYA BARÇA WROCŁAW.
- L'Associació pot utilitzar el nom abreujat P.B. WROCŁAW i el seu signe gràfic distintiu (escut), així com banderes, bufandes i altres marques, d'acord amb la normativa interna determinada per la Junta Directiva.
- L'Associació té dret a utilitzar segells i insígnies d'acord amb la normativa vigent.
Seu social, Durada i Personalitat jurídica
- La seu de l'Associació és la ciutat de Wrocław.
- L'Associació s'estableix per temps indefinit.
- L'Associació té personalitat jurídica.
Capítol II. Objectius i mitjans
Els objectius de l'associació són:
- donar suport al Club,
- popularitzar els ideals i valors del Barcelonisme,
- propagar informació relativa al Club, les agrupacions i la seva història,
- popularitzar la història, la tradició i la cultura de la ciutat de Barcelona i la regió de Catalunya i els seus habitants,
- difondre les idees de tolerància, igualtat i no discriminació,
- actuar per unir l'afició del Club,
- iniciar, desenvolupar i donar suport a la cooperació entre els habitants de Wrocław i els habitants de Catalunya.
L'Associació assoleix els seus objectius mitjançant:
- col·laboració amb el Club,
- suport actiu al Club durant els partits i altres esdeveniments organitzats pel Club,
- organització de reunions dels socis de l'Associació,
- organització i participació en tota mena d'esdeveniments, en particular de caràcter benèfic,
- gestió d'un lloc web i perfils a les xarxes socials.
L'Associació pot dur a terme activitat econòmica, però els ingressos es destinen exclusivament a implementar els objectius estatutaris i no es poden distribuir entre els seus membres.
Capítol III. Drets i obligacions dels socis
Poden ser membres de l'Associació les persones físiques i jurídiques. L'Associació consta de: 1. socis ordinaris, 2. socis col·laboradors, 3. socis honorífics.
Socis ordinaris
Qualsevol persona física major d'edat que presenti una declaració pot ser soci ordinari. S'esdevé soci ordinari per decisió de la Junta Directiva.
Els socis ordinaris tenen dret a:
- participar en les activitats de l'Associació,
- participar en l'elecció dels òrgans de l'Associació,
- presentar iniciatives sobre les activitats.
Els socis ordinaris estan obligats a:
- actuar en benefici de l'Associació i donar-hi suport,
- complir els estatuts i resolucions,
- pagar regularment les quotes de soci.
Els menors d'edat poden pertànyer a l'Associació amb el consentiment dels representants legals, amb drets limitats i estan exempts de quotes.
Capítol IV. Òrgans de l'Associació
Els òrgans de l'Associació són: 1. Assemblea General de Socis, 2. Junta Directiva, 3. Comissió de Revisió. Tots els òrgans electes tenen un mandat de 5 anys. L'elecció es fa per votació secreta, per majoria absoluta.
Assemblea General de Socis
És la màxima autoritat. La reunió pot ser ordinària i extraordinària, i es pot realitzar a través de mitjans de comunicació electrònics (a distància).
Junta Directiva
Gestiona les activitats de l'Associació i la representa a l'exterior. Està formada per 1 a 5 membres (President, Vicepresident, Tresorer, Secretari, Vocal).
Comissió de Revisió
S'estableix per exercir el control de les activitats de l'Associació.
Capítol V i VI. Patrimoni i Disposicions Finals
Els actius de l'Associació es creen a partir de: quotes de socis, donacions, ingressos propis i subvencions. Una resolució de modificació d'estatuts i de dissolució s'adopta a l'Assemblea General per una majoria qualificada de 2/3 dels vots.

Aby rozpocząć proces rejestracji do fanklubu, należy wypełnić formularz online, podając wymagane dane osobowe oraz kontaktowe. Warunkiem wysłania zgłoszenia jest zaakceptowanie statutu fanklubu oraz klauzuli informacyjnej RODO. Rejestracja osób niepełnoletnich jest możliwa wyłącznie za pośrednictwem pełnoletniego rodzica lub opiekuna prawnego.

The condition for submitting the application is accepting the fan club statute and the GDPR information clause. Registration of minors is only possible through an adult parent or legal guardian.
Per iniciar el procés de registre a la penya, ompliu el formulari en línia proporcionant les dades personals i de contacte requerides. La condició per enviar la sol·licitud és acceptar els estatuts de la penya i la clàusula informativa del RGPD. El registre de menors només és possible a través d'un pare, mare o tutor legal major d'edat.

Po wysłaniu formularza opłać składkę członkowską przelewem na konto Penya Barça Wrocław prowadzone pod numerem 18 2530 0008 2041 1089 3738 0001 podając w tytule przelewu opis „składka i swoje imię i nazwisko”. Roczna składka członkowska dla osób pełnoletnich wynosi 150 zł i jest płatna za każdy rok kalendarzowy do 31 stycznia każdego roku.
Jeżeli dołączasz do penyi do 31 marca składkę opłać w całości. Jeżeli w okresie od 1 kwietnia do 30 czerwca zapłać 120 zł. Jeżeli w okresie od 1 lipca do 30 września zapłać 80 zł. Jeżeli w okresie od 1 października do 31 grudnia zapłać 40 zł. Niepełnoletni członkowie stowarzyszenia zwolnieni są od obowiązku wnoszenia składek.

The annual membership fee for adults is 150 PLN and is payable for each calendar year by January 31 of each year.

La quota anual per a adults és de 150 PLN i es paga per cada any natural fins al 31 de gener de cada any.
Si us uniu a la penya abans del 31 de març, pagueu la quota íntegrament. Si és entre l'1 d'abril i el 30 de juny, pagueu 120 PLN. Si és entre l'1 de juliol i el 30 de setembre, pagueu 80 PLN. Si és entre l'1 d'octubre i el 31 de desembre, pagueu 40 PLN. Els socis menors d'edat estan exempts de l'obligació de pagar quotes.
